Terms of Service

Welcome to DocXAI (the "Platform"), owned and operated by Infinity AI Technologies Inc. ("Company", "we", "us", or "our"). By accessing or using our website (www.docxai.ca), APIs, document ingestion pipelines, or autonomous agentic workflows (collectively, the "Services"), you ("Customer", "you", or "your") agree to be bound by these Terms of Service ("Agreement"). If you are entering into this Agreement on behalf of a company or legal entity, you represent that you have the authority to bind such entity to these terms.

Important Notice: These Terms include a binding Service Level Agreement (SLA) in Section 9 for our Microsoft Azure-hosted production environments, establishing specific remedies, availability targets, and support operational windows.

1. Purpose & Scope of Services

DocXAI provides a cloud-native, enterprise-grade Intelligent Document Processing (IDP) and autonomous agent workflow orchestration platform. The Services enable the automated extraction, classification, validation, and structured mapping of digital and physical document assets using proprietary and foundational machine learning architectures.

2. Account Registration & Security

To utilize the platform, Customers must establish a unique organizational account instance. You are entirely responsible for maintaining the confidentiality of all account credentials, cryptographically signed API keys, and access tokens. You agree to immediately notify us of any unauthorized access, credential leakage, or security breach via our response operations center at security@docxai.ca.

3. Data Ownership & Intellectual Property

  • Customer Data: The Customer retains all right, title, and interest (including all intellectual property rights) in and to all files, images, metadata, schemas, or materials uploaded, submitted, or processed through the platform ("Customer Data"). You grant DocXAI a limited, non-exclusive, non-transferable license to host, process, and transmit Customer Data solely to execute the specified workflows and fulfill our contractual obligations.
  • Zero Model Pollution: We explicitly warrant that Customer Data, parsed text nodes, and domain-specific schemas will not be utilized to retrain, tune, or align our foundational machine learning models or shared across multi-tenant boundaries.
  • DocXAI IP: The platform, its underlying algorithms, structural graph architectures, user interfaces, proprietary custom layouts, and all documentation remain the exclusive intellectual property of Infinity AI Technologies Inc.

4. Acceptable Use Policy

Customer agrees not to, and will not permit any third party to: (a) reverse engineer, decompile, or attempt to extract the source code or underlying neural network topologies of the platform; (b) circumvent, bypass, or test the integrity of any rate-limiting, authentication, or safety filtering controls; (c) utilize the service to process documents containing material that violates applicable local, provincial, or federal statutes, including PIPEDA or criminal codes.

5. Fees, Billing, & Subscription Cycles

Services are billed on a recurring subscription matrix or consumption-based volume configuration (per-page or per-agent orchestration block execution) as defined in your specific Order Form. All fees are denominated in Canadian Dollars (CAD) unless explicitly outlined otherwise, and are non-refundable. Overdue invoices are subject to an interest charge of 1.5% per month or the maximum rate permitted by law, whichever is lower.

6. Term & Termination

This Agreement commences on the effective date of account creation or Order Form execution and continues until the subscription cycle terminates. Either party may terminate this Agreement for cause upon thirty (30) days' written notice if the other party breaches a material term and fails to cure such breach within the notice window. Upon termination, DocXAI will permanently purge all stored Customer Data in accordance with the data retention guidelines configured within the platform administration dashboard.

7. Warranty Disclaimers

Except as explicitly provided in the Service Level Agreement (Section 9), the Services are provided on an "as is" and "as available" basis. Infinity AI Technologies Inc. disclaims all express or implied warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the machine learning extraction capabilities will be 100% error-free or that document text recognition (OCR) will achieve perfect precision on highly degraded physical media.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall either party be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of profits, data, or business opportunities, arising under this Agreement. DocXAI's aggregate liability under this Agreement shall not exceed the total fees paid by Customer during the twelve (12) month window immediately preceding the event giving rise to liability.

9. Service Level Agreement (SLA)

This Service Level Agreement governs the performance, availability, and enterprise support frameworks of the DocXAI Platform when hosted on production infrastructures within Microsoft Azure (Standard regional deployments include Canada East, Canada Central, or US East).

9.1 Commitment to Service Availability

DocXAI commits to maintaining a Monthly Uptime Percentage of at least 99.9% for its core processing web portal, orchestration engines, and REST API endpoints during any billing month.

9.2 Calculations & Formula Metrics

Monthly Uptime is computed by tracking the absolute total minutes within a given calendar month, subtracting the duration of any verified System Outages, and dividing by the total monthly runtime capacity. The mathematical framework is formalized as follows:

Monthly Uptime % = ((Total Minutes in Month - Minutes of Verified System Outage) * 100) / Total Minutes in Month

"Verified System Outage" is defined as an operational state where the core DocXAI API or execution layer returns a HTTP 5xx error or completely fails to acknowledge valid incoming network requests, validated by our automated transaction synthetics on Azure Application Insights.

Exclusions: System Outages do not include disruptions resulting from: (a) Scheduled Maintenance windows; (b) Force Majeure events; (c) Interruption of Azure core regional fabric outside our application cluster boundary; or (d) Customer-side network infrastructure configurations.

9.3 Scheduled Maintenance

DocXAI reserves the right to perform routine system optimizations, patching, and database clustering updates. Scheduled Maintenance will occur exclusively during low-utilization windows (Saturdays and Sundays between 02:00 AM and 05:00 AM Eastern Time). Customers will receive at least forty-eight (48) hours of advance notification via the platform status center.

9.4 Service Credits & Financial Remedies

If DocXAI fails to meet the 99.9% availability threshold, Customer's sole and exclusive remedy will be the acquisition of Service Credits applied against their subsequent monthly subscription invoice as detailed below:

To request a credit, Customer must file an official claim with billing@docxai.ca within thirty (30) days following the conclusion of the calendar month in which the failure occurred, documenting relevant API transaction logs or system error timestamps.

9.5 Technical Support & Incident Response Operations

Technical support incidents are classified according to severity levels, governed by the response and resolution matrices below. Our standard business coverage windows span from 08:00 AM to 06:00 PM Eastern Time, Monday through Friday, excluding Canadian statutory holidays. Critical (Severity 1) incidents are triaged on a 24/7/365 operational basis.

10. Governing Law & Dispute Resolution

This Agreement will be governed by, interpreted, and enforced in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal action, litigation, or dispute arising out of or connecting to this agreement shall be brought exclusively in the courts located within Toronto, Ontario.
